Notes regarding WORLDOX and WORLDOX/Web Pricing
| A. |
An Annual Maintenance Agreement is mandatory for the first year for all new orders of
WORLDOX and WORLDOX/Web. A Maintenance Agreement license includes
software interim upgrades, telephone and e-mail support and is subject to
a World Software Corporation Maintenance Agreement.
The cost of a Maintenance Agreement for WORLDOX/Web is listed above. |

| B. |
If a customer is off maintenance for more than 4 months, they must
pay the UPGRADE PRICE for WORLDOX and WORLDOX/Web. |

Non-maintenance customers can purchase UPGRADES at the prices listed
above. Prices include one year of Maintenance. |

| C. |
WORLDOX/Web pricing is based on number of WORLDOX licenses purchased
by the customer. WORLDOX/Web includes WORLDOX/Web Primary Server (software) and one
WORLDOX/Web Proxy Server (software). Each additional WORLDOX/Web
Proxy Server can be installed either at a Primary or Remote site. |

| D. |
If the customer adds more WORLDOX licenses in the future, such that
their total number of WORLDOX licenses moves them into the next Category,
they must pay the pro-rated increase between Categories (both
software and maintenance) for WORLDOX/Web. |
